Terms of Service

1. Introduction

This document, which may also be referred to as "Terms of Service," "Terms," "User Agreement," or "Agreement" throughout, is a legally binding agreement between individuals, businesses, and organizations (collectively referred to as "Users") and PliantTV, including both the website located at pliant.tv (referred to hereafter as the "Website") and the PliantTV mobile application (referred to hereafter as the "Application" or "App"). Collectively, the Website and the Application are referred to as the "Service."

The terms "us," "we," and "ours" may also be used to refer to PliantTV throughout, while the terms "you" and "your" may be used to refer to all users of the Service. The terms "Content" and "Contents" are used to refer to any materials made available via the Service.

By using our Service, you agree that you comply with the terms of this Agreement and our Privacy Policy.

2. Gaining Access to and Using the Service

We grant you a nonexclusive, non-sublicensable, revocable license to access and use our Service strictly in accordance with this Agreement. Your rights under this Agreement are not transferable or assignable, and any such transfer shall be void or voidable where appropriate.

This Agreement in no way creates any agency, partnership, joint venture, or employee-employer or franchisor-franchisee relationship between you and us.

2.1 Age Verification

By accessing or using the Service, you acknowledge and agree that we will use age-assurance and age-verification measures to prevent access to the Service by anyone under 18 years of age. Such measures may include, without limitation:

• Age-gating through metadata, labels, and technical settings associated with our Website, mobile application, and listings on mobile platforms;
• Obtaining a user's declared age or age category through age-screening or age-gate prompts presented on our Website or within our mobile application;
• Deriving a user's declared age or age category from connected third-party or social network accounts where the user chooses to sign in or otherwise link such accounts;
• Using age-signals and age-category APIs provided by mobile operating system providers and/or app marketplaces;
• Obtaining a user's age or age category from third-party age-verification or age-assurance service providers, where applicable.

Where these measures indicate or reasonably suggest that a user is under 18, we will deny, restrict, or block access to the Service at the outset, preventing such user from registering for, creating, or accessing a User Account or otherwise using any part of the Service.

2.2 Service Availability

We reserve the right to stop (temporarily or for an indefinite period of time) functioning of our Service (e.g., to perform maintenance). We also reserve the right to alter our Service:

• For technical reasons such as issues with our servers, hardware or software malfunctions, security incidents, etc.
• To perform updates to our hardware or software for the benefit of our Service and/or user experience.
• In any case for legitimate reasons such as objections regarding privacy or legitimate objections regarding the Content or maintenance of our Service.
• If we decide our Service no longer has commercial reason for continuing operation.
• Should any changes of services provided by us occur.

We do not specifically exclude cases when our Service may be unavailable (temporarily or for an indefinite period of time) due to technical or maintenance issues. Our Service is not immune from viruses, hacker attacks, malfunctions of hardware and software, and other unexpected issues that are out of our control. However, we will make every reasonable effort to implement modern, industry-standard, and appropriate technical and organizational measures to prevent or mitigate such incidents.

• We do not take responsibility for any issues or harm, including material damage, experienced by Users of our Service due to technical reasons.
• We do not take responsibility for any issues or harm experienced by Users of our Service which is caused by Internet or data malfunctions.
• We commit to taking any feasible actions to resume correct functionality of our Service in the case of any technical or maintenance issues.

All issues and/or costs associated with Internet connections and/or mobile data connection services are the responsibility of the individual User. We advise all Users to clarify the costs of any Internet or data connections before using our Service.

3. Account Registration and Security

To use certain features of the Service, you must create an account. When registering for an account, you agree to:

• Provide accurate, current, and complete information during the registration process;
• Maintain and promptly update your account information to keep it accurate, current, and complete;
• Maintain the security and confidentiality of your login credentials;
• Accept responsibility for all activities that occur under your account;
• Immediately notify us of any unauthorized use of your account or any other breach of security;
• Never share your account credentials with third parties;
• Not create more than one account per person.

You acknowledge that you are solely responsible for all activity that occurs under your account, whether or not you authorized such activity. We are not liable for any loss or damage arising from your failure to comply with the above requirements.

4. User Content

Users may transmit text, audio (verbal statements), and video information to other Users. By making available any User Content through the Service, you hereby grant to us a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, and otherwise exploit such User Content on, through, or by means of the Service and third-party services. This includes the use of said Content for commercial purposes.

We do not claim any ownership rights in any such User Content and nothing in this Agreement will be deemed to restrict any rights that you may have to use and exploit any such User Content. The copyright for all Contents remain in the possession of the User who has provided them.

You acknowledge and agree that you are solely responsible for all User Content that you make available through the Service. Accordingly, you represent and warrant that:

• You either are the sole and exclusive owner of all User Content that you make available through the Service or you have all rights, licenses, consents, and releases that are necessary to grant to us the rights in such User Content, as contemplated under the terms of this Agreement;
• Neither the User Content nor your broadcasting or transmittal of the User Content or our use of the User Content (or any portion thereof) on, through, or by means of the Service or third-party services will infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

The copyright to all other Contents, including graphics, UI design, etc., found on our Service belongs to us.

5. Prohibited Content and Conduct

You agree not to provide any User Content that violates terms of this Agreement, the rights of other Users, or may be viewed as obscene or offensive to others. Specifically:

You are strictly prohibited from providing, posting, uploading, sharing, or otherwise distributing through the Service any sexual Content, including any Content that depicts, involves, or otherwise relates to anyone under 18 years of age.

You agree not to transmit any Content that:

• Violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability;
• Is fraudulent, false, misleading, or deceptive;
• Is defamatory, obscene, pornographic, vulgar, or offensive;
• Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group;
• Is violent or threatening or promotes violence or actions that are threatening to any other person;
• Promotes illegal or harmful activities or substances;
• Infringes on the intellectual property rights of others.

You agree not to promote, advertise, or offer any type of commercial services when using our Service. You agree not to use the Service or Contents for any commercial purpose or the benefit of any third party or in any manner not permitted by this Agreement.

6. Prohibited Technical Activities

You agree not to do any of the following:

• Attempt to probe, scan, or test the vulnerability of any of our systems or networks or breach any security or authentication measures;
• Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by us or any of our providers or any other third party (including another User) to protect the Service or Content;
• Attempt to access or search the Service or Content or download Content from the Service through the use of any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, data mining tools, or the like) other than generally available third-party web browsers;
• Forge any TCP/IP packet header or any part of the header information in any email posting, or in any way use the Service or Content to send altered, deceptive, or false source-identifying information;
• Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Service or Content;
• Interfere with, or attempt to interfere with, the access of any User, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Service;
• Develop a competing application or service;
• Collect or harvest any personally identifiable information from the Service;
• Use the Service for any commercial solicitation purposes;
• Encourage or enable any other individual to do any of the foregoing.

7. Video Chat Conduct

When participating in video chats on PliantTV, you agree to:

• Keep your face clearly visible at all times during video conversations;
• Not display any nudity or sexually explicit content;
• Not engage in any sexually suggestive behavior;
• Treat other users with respect and dignity;
• Not harass, bully, or threaten other users;
• Not use virtual backgrounds, face filters, or other tools to misrepresent your identity or appearance in a deceptive manner;
• Not record, screenshot, or capture video chats without the explicit consent of all participants;
• Not share recordings or screenshots of video chats without the explicit consent of all participants;
• Immediately report any inappropriate behavior to our moderation team.

8. Premium Subscription and Paid Services

We may offer paid products or services to our Users, including but not limited to, digital goods, digital services, and subscriptions.

If you purchase something from us, you also represent and warrant that:

• You have read the product or service description and clearly understand its nature;
• Any payment information you supply is true and complete;
• Charges incurred by you will be honored by your bank or credit card company;
• You will pay the charges incurred by you at the posted prices, including any applicable taxes;
• If your initial payment method is dishonored, you will still pay the incurred charges, including any surcharge we may incur due to the dishonored payment.

8.1 Subscription Terms

PliantTV Premium subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan) until you cancel. You can cancel your subscription at any time through your account settings or by contacting our support team.

8.2 Refunds

Paid services may not be transferred to third parties. Refund requests will be evaluated on a case-by-case basis. Generally, we do not provide refunds for:

• Services already rendered;
• Partial subscription periods;
• Accounts terminated for violations of these Terms.

9. External URLs and Third-Party Services

We reserve the right to place links to external websites, Internet resources, and third-party goods on our Service.

We attempt to provide links to respected third-party resources only; however, we do not accept responsibility or liability for the content on third-party websites, the security of your personal information privacy on such sites, or any actions you may take on external websites. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. You acknowledge and agree that we are not responsible or liable for the availability or accuracy of external websites or resources as well as for the content, products, or services on or available from such websites or resources.

10. Linking and Embedding

You may include links to the Service (including both the Website and the Application) on third-party websites or applications, provided that such links do not misrepresent your relationship with the Service, imply any form of endorsement or sponsorship by us without prior written permission, or violate any applicable laws or this Agreement.

Embedding any part of the Service (such as interfaces or functionalities) into other websites, applications, or services is strictly prohibited without our explicit prior written consent. Unauthorized embedding or framing of the Service may lead to legal action and the termination of your access rights.

We reserve the right to request the removal of any links or embedded elements that we deem inappropriate, misleading, or otherwise in violation of terms of this Agreement.

You agree not to use linking or embedding mechanisms in a way that interferes with or disrupts the operation, design, or security of the Service, or that may harm our Users, our reputation, or infringe upon our intellectual property rights.

11. Termination of Access

Any User who violates the terms of this Agreement, or provides or distributes Contents as outlined in terms of this Agreement, may have access to our Service limited without any notice or obligation (financial or other), including the right for us to use any software, technical, legal, and other means to ensure these terms are met (including, without any limitations, blocking certain IP addresses).

We attempt to notify all Users about any such restrictions; however, we are not under obligation to do so.

For temporary access limitations, the limitation period is determined by us and may be changed from time to time. You agree that we shall not be liable to you and other Users for any change of ban periods for any kind of violation.

We reserve the right to suspend or terminate any User Account and/or access to the Service if we reasonably believe the user is under 18. In certain cases where we suspect that an account may belong to a minor, we may temporarily restrict or block access to the Service and require the user to complete an age-verification check through a third-party age-verification provider as a condition for restoring access.

Any and all provisions related to or regarding limitation of liability, disclaimers, and indemnification survive any termination of this Agreement or any termination of your use of our Service.

12. Reporting Violations and Complaints

Any incidents of abuse, violations of this Agreement, and/or improper use of your copyright by other Users may be reported via Report/Complaint features, email addresses, contact forms, and other methods of contact as presented on our Service.

Users who attempt to resolve any disputes with other Users of our Service by violating terms of this Agreement or Privacy Policy, and/or by taking illegal actions such as inappropriate remarks to other Users are liable to have their access to our Service limited on a temporary or permanent basis.

If you'd like to report Content belonging to someone under the age permitted by this Agreement, please use Report/Complaint features available on our Service or contact us at support@pliant.tv.

13. Intellectual Property

The Service, including its "look and feel" (e.g., text, graphics, images, logos, page headers, button icons, and scripts), proprietary content, information, and other materials, and all content and other materials contained therein, including, without limitation, the PliantTV logo and all designs, text, graphics, pictures, data, software, sound files, other files, and the selection and arrangement thereof are the proprietary property of PliantTV or our affiliates, licensors, or users, as applicable, and you agree not to take any action(s) inconsistent with such ownership interests.

We and our affiliates, licensors, and users, as applicable, reserve all rights in connection with the Service and its content, including, without limitation, the exclusive right to create derivative works.

14. Disclaimer of Warranties

THE SERVICE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. IN ADDITION, WHILE WE ATTEMPT TO PROVIDE A GOOD USER EXPERIENCE, WE CANNOT AND DO NOT REPRESENT OR WARRANT THAT THE SERVICE WILL ALWAYS BE SECURE OR ERROR-FREE OR THAT THE SERVICE WILL ALWAYS FUNCTION WITHOUT DELAYS, DISRUPTIONS, OR IMPERFECTIONS.

WE DO NOT ENDORSE, WARRANT, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

15. Limitation of Liability

We are not responsible for any actions taken by our Users while on our Service or for any of the Contents provided by them.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DO NOT ACCEPT ANY LIABILITY RESULTING FROM THE USE OF OUR SERVICE, INCLUDING LIABILITY RESULTING FROM LAWSUITS, PENALTIES, CLAIMS, DAMAGES, OBLIGATIONS, EXPENSES OF ANY NATURE AND TYPE INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, AND/OR LOSSES CAUSED BY:

• Negligence;
• Service interruption;
• Loss of data;
• Hardware damage due to virus attacks;
• Loss of income or profits;
• Loss of opportunity;
• Waste of time;
• Breach of a contract;
• Third-party claims;
• Any other losses that may have been foreseen as those which may be caused due to or during the use of our Service.

This liability limitation covers, but is not limited to, transmission of any software or viruses that may harm your hardware, cause malfunctions of mechanical or electrical hardware or of communication lines, other connection issues (such as impossibility of Internet access), unauthorized access, theft, injury, property damage, operator errors, strikes, or force majeure.

16. Indemnification

You agree to indemnify, defend, and hold harmless PliantTV, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to your use or misuse of the Service or your breach of this Agreement.

17. Governing Law and Dispute Resolution

This Agreement and any action related thereto will be governed by the laws of the jurisdiction in which PliantTV operates, without regard to its conflict of laws provisions.

Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by arbitration, using the English language, in accordance with the rules of an established arbitration association. The arbitrator's decision will be final and binding.

18. Amendments

We reserve the right, without any prior notification to you, to amend or change this Agreement, our Privacy Policy, or any other policies.

• The most recent and up-to-date copies of the above documents are published on our Website.
• Any amendments become active and valid from the moment the amended text is updated on the respective page on our Website.
• In some instances, we may notify Users of amendments to documents; however, it is the responsibility of the User to regularly check the respective pages for updates.
• Should you disagree with any terms outlined in this Agreement, you should stop using our Service with immediate effect. Continuing to use our Service after any amendments come into effect indicates you agree with all changes and the amended terms of this Agreement.

19. Severability

If any provision of this Agreement is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.
